Whistleblower policy and reporting.

Tirex Petroleum & Energy is committed to integrity, accountability, transparency and ethical conduct across its operations, projects, vendor engagements and stakeholder relationships.

This policy provides a confidential channel for employees, contractors, consultants, vendors, service providers, business partners, stakeholders and members of the public to report suspected misconduct or activity that may negatively affect the Company, its people, assets, projects, reputation or stakeholders. Reports made in good faith are treated seriously and handled fairly, confidentially and professionally.

Purpose

Raise genuine concerns early.

The policy encourages the prompt reporting of genuine concerns relating to wrongdoing, malpractice, unethical conduct, fraud, corruption, abuse of office, safety breaches or violations of Company policies and procedures. It supports a culture of openness, responsibility and protection for those who speak up in good faith.

Scope

Applies across the business.

The policy applies to employees, directors, management, contractors, consultants, vendors, service providers, business partners and other stakeholders. It is not intended for personal employment grievances, routine HR matters or ordinary interpersonal disputes; these should follow the relevant internal process.

Reportable concerns

What can be reported

  • Fraud, theft, financial mismanagement, bribery, corruption or kickbacks.
  • Procurement or vendor misconduct, conflicts of interest, misuse of Company assets or abuse of office.
  • Breaches of Company policies, procedures or applicable requirements.
  • Harassment, intimidation, victimisation, retaliation or other unethical conduct.
  • Unsafe work practices, HSE violations, project-execution irregularities, concealed defects or falsified project records.
  • Falsification of documents, reports, invoices, certifications or approvals.
  • Unauthorised disclosure or misuse of confidential information, damage to the Company’s reputation, or attempts to conceal any of the above.

A report should be made where there is a reasonable, good-faith belief that misconduct has occurred, is occurring or may occur.

You may also raise a concern through the appropriate management, internal-control, audit, legal or compliance representative. Anonymous reports are accepted; however, a way to contact you can assist a fair and effective investigation.

Helpful report details

  • Date, time and location of the incident.
  • People involved and the relevant project, department, site, vendor or process.
  • A clear description of the concern and any documents, images, records, invoices, approvals or other supporting evidence available to you.

Confidentiality and protection

Information is shared only with authorised persons and only where necessary to investigate and resolve the matter. The Company will protect a reporter’s identity wherever possible, subject to legal requirements and the needs of a fair investigation. Retaliation against anyone making a report in good faith is prohibited and is treated as a serious violation.
